Terms of Service

1. Acceptance of Terms

By downloading, installing, accessing, or using the Rainvoice application or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and ourPrivacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Rainvoice ("we," "us," or "our"), a company incorporated under applicable law. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Rainvoice is an AI-powered voice-to-text application designed for macOS. The Service transcribes spoken audio into text in real time using artificial intelligence and large language models. Features include, but are not limited to:

• Real-time voice transcription across any application
• AI-powered punctuation and formatting
• Support for 100+ languages
• Privacy-first local and encrypted processing

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for such changes.

3. Eligibility

You must be at least 13 years of age to use the Service. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. Users in the European Economic Area (EEA) must be at least 16 years of age, unless applicable local law permits a lower age.

By using the Service, you represent and warrant that you are not located in a country subject to a U.S. government embargo or on any U.S. government list of prohibited or restricted parties.

4. User Accounts

Certain features of the Service require you to create an account. You agree to provide accurate, complete, and current information during registration and to keep that information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify us immediately at hello@rainvoice.app if you suspect unauthorized access to your account. Rainvoice will not be liable for any loss arising from unauthorized use of your account.

You may not share your account with others, create multiple accounts to circumvent restrictions, or transfer your account to another person without our prior written consent.

5. Subscriptions and Payments

5.1 Paid Plans

Rainvoice offers free and paid subscription tiers. Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing, you authorize us (or our third-party payment provider) to charge your payment method on a recurring basis.

5.2 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until that date. We do not provide prorated refunds for unused portions of a billing period unless required by law.

5.3 Price Changes

We reserve the right to change subscription prices. We will notify you of any price changes at least 30 days before they take effect. Continued use of the Service after a price change constitutes your acceptance of the new price.

5.4 Taxes

Prices may be exclusive of applicable taxes. You are responsible for all taxes, duties, and levies imposed by governmental authorities in connection with your use of the Service.

6. Acceptable Use and Usage Limits

You agree not to use the Service to:

• Violate any applicable local, national, or international law or regulation
• Record, transcribe, or transmit the speech of another person without their prior consent
• Generate, transmit, or store content that is defamatory, obscene, harassing, or discriminatory
• Produce or distribute content involving the sexual exploitation of minors
• Infringe upon the intellectual property rights of any party
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the Service
• Attempt to circumvent, disable, or otherwise interfere with security-related features
• Use the Service to train, develop, or improve a competing AI product or service
• Access the Service through automated means (bots, scrapers) except as expressly permitted
• Resell, sublicense, or otherwise commercialize access to the Service without our written consent
• Attempt to gain unauthorized access to any portion of the Service or its related systems

Fair Use and Abuse Prevention. To protect the quality and availability of the Service for all users, Rainvoice reserves the right, at its sole discretion, to throttle, restrict, suspend, or permanently terminate access to the Service — without prior notice — if a user's usage patterns indicate abuse, circumvention of usage limits, automated or bulk consumption, unusual volume that imposes disproportionate load on our infrastructure, or any other conduct that degrades the experience for other users or exposes Rainvoice to undue cost or risk. This includes, but is not limited to, using multiple accounts or third-party tools to exceed plan limits. We will determine what constitutes abusive use at our reasonable discretion and will act accordingly to safeguard service integrity.

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this section, including reporting to law enforcement authorities.

7. Intellectual Property

7.1 Rainvoice IP

The Service and all content, features, and functionality thereof — including but not limited to software, algorithms, design, trademarks, logos, and documentation — are the exclusive property of Rainvoice or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use Rainvoice's trademarks or trade names.

7.2 Your Content

You retain all ownership rights in the text output generated from your voice input ("Your Content"). By using the Service, you grant Rainvoice a limited, non-exclusive, royalty-free license solely to process and deliver Your Content back to you as part of the Service. We do not claim ownership of Your Content and will not use it for any purpose beyond delivering the Service.

7.3 Feedback

If you submit suggestions, bug reports, or other feedback about the Service, you grant Rainvoice a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without compensation or attribution to you.

8. Privacy and Data

Your privacy is fundamental to everything we build. Please review our Privacy Policy to understand how we collect, use, and protect your information.

We make the following core commitments with respect to your voice data:

• We do not store your audio recordings on our servers
• Your voice data is never used to train AI models without your explicit consent
• Processing is performed using local-first or end-to-end encrypted channels

9. AI Features and Accuracy Disclaimer

Rainvoice uses artificial intelligence and large language models to transcribe and format your voice input. While we strive for high accuracy, AI-generated transcriptions and reformatted text may contain errors, omissions, or inaccuracies, even when they appear correct.

You are solely responsible for reviewing, verifying, and editing AI-generated output before relying on it for any professional, medical, legal, financial, or other consequential purpose. Rainvoice expressly disclaims liability for any decisions made based on inaccurate transcriptions.

10. Disclaimer of Warranties

To the maximum extent permitted by applicable law:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY CONTENT OR TRANSCRIPTIONS GENERATED BY THE SERVICE.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

IN NO EVENT SHALL RAINVOICE, ITS DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Rainvoice and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you create, transmit, or store through the Service.

13. Termination

We may suspend or terminate your access to the Service, with or without cause or notice, at any time. Reasons may include, but are not limited to, violation of these Terms, fraudulent activity, extended inactivity (12+ months on free accounts), or compliance with a legal obligation.

You may terminate your account at any time by contacting hello@rainvoice.app or through your account settings. Upon termination, your right to use the Service ceases immediately.

Sections 7.1, 7.3, 9, 10, 11, 12, 13, 14, and 15 survive any termination of these Terms.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

14.2 Informal Resolution

Before initiating formal proceedings, you agree to contact us at hello@rainvoice.app and attempt to resolve the dispute informally for at least 30 days.

14.3 Arbitration

If informal resolution fails, any dispute arising under these Terms shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You may opt out of arbitration within 30 days of first accepting these Terms by emailing hello@rainvoice.app with subject line "Arbitration Opt-Out."

14.4 Class Action Waiver

You agree that any arbitration or court proceeding shall be conducted solely on an individual basis. You waive the right to participate in any class, collective, or representative action.

Users in the European Union may use the EU Online Dispute Resolution platform or bring claims before the courts of their country of residence.

15. Changes to These Terms

We may modify these Terms from time to time. We will notify you of material changes by sending an email to the address on file or by displaying a prominent notice in the Service. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must discontinue use of the Service and cancel your subscription (if applicable) before the effective date.

16. General Provisions

Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Rainvoice regarding the Service and supersede all prior agreements or understandings.

Severability: If any provision is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

No Waiver: Failure to enforce any right under these Terms does not constitute a waiver of that right.

Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
